Merchant Agreement
This Merchant Agreement ("Agreement") governs the relationship between
Patter Shops ("Platform", "we", "us") and any individual or business ("Merchant", "you") that creates, operates, or maintains a store on shops.patter.co.ke.
By registering as a Merchant, you agree to be bound by this Agreement in addition to the Terms and Conditions.
1. Merchant Onboarding and Approval
- Merchants must provide accurate business and personal information during registration.
- We reserve the right to approve, reject, suspend, or remove any merchant at our sole discretion.
- Approval does not constitute endorsement of a merchant or their products.
2. Merchant Store Ownership
- Merchants own their store content, branding, and product listings.
- Patter Shops owns and controls the underlying Platform, software, infrastructure, and domain.
- Merchants are granted a limited, non‑exclusive, revocable license to use the Platform.
3. Products and Services
Merchants agree that:
- All products and services are legal, authentic, and compliant with Kenyan law.
- Listings must not include counterfeit, stolen, misleading, or prohibited items.
- Product descriptions, images, pricing, and availability must be truthful and up‑to‑date.
Prohibited items may include (but are not limited to):
- Illegal drugs, weapons, or controlled substances
- Counterfeit or pirated goods
- Stolen property
- Fraudulent or deceptive products
- Content that violates intellectual property or privacy rights
4. Pricing, Orders, and Fulfillment
- Merchants set their own prices, delivery terms, and return policies.
- Merchants are solely responsible for order fulfillment, shipping, delivery timelines, and customer communication.
- Patter Shops is not a party to transactions between merchants and customers.
5. Payments and Payouts
- Payments are processed via third‑party payment providers integrated into the Platform.
- Patter Shops does not hold customer funds unless explicitly stated.
- Merchants are responsible for linking correct payout details.
- Payment delays, reversals, chargebacks, or disputes are governed by the payment provider’s policies.
6. Fees and Revenue
- Merchants may be subject to subscription fees, transaction fees, or service charges.
- All applicable fees will be communicated before activation.
- Fees are non‑refundable unless stated otherwise.
7. Taxes and Compliance
- Merchants are solely responsible for calculating, collecting, reporting, and paying all applicable taxes.
- Merchants must comply with all local, national, and international laws relevant to their business.
8. Customer Support and Disputes
- Merchants are responsible for handling customer complaints, refunds, and disputes.
- Patter Shops may intervene at its discretion but has no obligation to resolve disputes.
- Persistent unresolved disputes may result in account suspension.
9. Merchant Conduct
Merchants must not:
- Engage in fraudulent, deceptive, or abusive practices
- Manipulate reviews, ratings, or transactions
- Use the Platform to launder money or evade regulations
- Misrepresent affiliation with Patter Shops
10. Platform Monitoring and Enforcement
- We may monitor merchant activity to ensure compliance.
- We may remove listings, suspend stores, or terminate accounts without prior notice for violations.
11. Suspension and Termination
We may suspend or terminate a merchant account if:
- This Agreement or the Terms are violated
- Required by law or regulatory authority
- There is suspected fraud, abuse, or security risk
Upon termination:
- Merchant access to the Platform will cease
- Outstanding obligations to customers remain the merchant’s responsibility
12. Limitation of Liability
- Patter Shops is not liable for lost sales, profits, or business opportunities.
- We are not responsible for merchant inventory, logistics, or customer relationships.
- Our total liability is limited as outlined in the Terms and Conditions.
13. Indemnification
Merchants agree to indemnify and hold harmless Patter Shops from any claims, damages, losses, or legal fees arising from:
- Products sold or services offered
- Customer disputes or complaints
- Violation of laws or third‑party rights
14. Confidentiality
Merchants must not disclose confidential platform information, technical details, or proprietary data.
15. Changes to Merchant Agreement
We may update this Agreement at any time. Continued use of the Platform constitutes acceptance of changes.
16. Governing Law
This Agreement is governed by the laws of the
Republic of Kenya.
