1. Introduction

Welcome to shops.patter.co.ke ("Patter Shops", "Platform", "we", "us", "our"). Patter Shops is an e‑commerce platform that enables merchants to create, manage, and operate online stores, sell products and services, accept payments, and interact with customers. By accessing or using this Platform (whether as a merchant, customer, or visitor), you agree to be bound by these Terms and Conditions. If you do not agree, you must not use the Platform.

2. Definitions

  • Platform: The Patter Shops website, applications, tools, APIs, and services.
  • Merchant: Any individual or business that creates a store on Patter Shops.
  • Customer: Any person who visits or purchases from a Merchant’s store.
  • Content: Text, images, videos, product listings, reviews, data, or any material uploaded or displayed.
  • Services: All features provided by Patter Shops, including store creation, hosting, analytics, and payment integrations.

3. Eligibility

You must be at least 18 years old or have legal capacity under Kenyan law to use the Platform. By using Patter Shops, you represent that you meet these requirements.

4. Account Registration

  • Merchants must provide accurate, complete, and up‑to‑date information.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are fully responsible for all activities that occur under your account.
  • We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

5. Merchant Responsibilities

Merchants agree that:
  • All products and services listed are lawful under Kenyan and applicable international laws.
  • Product descriptions, pricing, images, and availability are accurate.
  • They will honor customer orders, refunds, and warranties as advertised.
  • They are responsible for taxes, licenses, permits, and regulatory compliance.
  • They will not sell prohibited, counterfeit, or illegal items.

6. Customer Responsibilities

Customers agree to:
  • Provide accurate information during checkout.
  • Use the Platform only for lawful purposes.
  • Respect merchants’ policies regarding refunds, shipping, and returns.

7. Payments and Transactions

  • Patter Shops may integrate third‑party payment providers (e.g., M‑Pesa, cards).
  • We do not process payments directly unless explicitly stated.
  • Payment providers operate under their own terms and privacy policies.
  • Patter Shops is not responsible for payment delays, failures, chargebacks, or reversals caused by third‑party providers.

8. Fees and Subscriptions

  • Some features may require payment or subscription fees.
  • Fees, billing cycles, and plans will be clearly communicated.
  • All fees are non‑refundable unless otherwise stated.
  • We reserve the right to change pricing with reasonable notice.

9. Intellectual Property

  • The Platform, branding, logos, software, and design belong to Patter or its licensors.
  • Merchants retain ownership of their own content.
  • By uploading content, merchants grant Patter Shops a non‑exclusive, worldwide license to use, display, and distribute such content for platform operation and promotion.

10. Prohibited Activities

You may not:
  • Use the Platform for fraud, scams, or illegal activities.
  • Upload malware, harmful code, or abusive content.
  • Attempt unauthorized access to systems or data.
  • Infringe intellectual property or privacy rights.

11. Platform Availability

  • We aim for high availability but do not guarantee uninterrupted service.
  • Maintenance, updates, or technical issues may cause downtime.
  • We are not liable for losses caused by service interruptions.

12. Suspension and Termination

We may suspend or terminate accounts without notice if:
  • These Terms are violated.
  • Required by law or regulation.
  • There is suspected fraud or security risk.

13. Limitation of Liability

To the maximum extent permitted by law:
  • Patter Shops is not liable for indirect, incidental, or consequential damages.
  • We are not responsible for disputes between merchants and customers.
  • Our total liability shall not exceed the fees paid to us in the previous 12 months.

14. Indemnification

You agree to indemnify and hold harmless Patter Shops from claims, damages, or expenses arising from your use of the Platform or violation of these Terms.

15. Governing Law

These Terms are governed by the laws of the Republic of Kenya.

16. Changes to Terms

We may update these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.
